Flexible Fee Structure

TPH has structured the following alternative fee arrangements that provide flexibility and focus on building
long-term client relationships:

Retainer Fee
Fixed monthly and/or quarterly fee payable at the beginning of the period to secure the services of TPH. The fee
is not associated with the success of a project or based on achieving predetermined milestones or results.

Progress Fee
Periodic fee payable based upon predetermined milestones as provided in an executed agreement.

Success Fee
Contingent fee payable at the back-end of a successfully completed project or agreement. The fee is in the form
of cash consideration, stock, warrants, direct equity participation and/or membership interest(s).

Asset Management Fee
Our combined management fees are divided into two parts. The Base Fee is intended to cover the basic costs of
providing our services and the Incentive Fee is tied to the financial performance of the operation.

     Base Fee
     This fee is typically a percentage of gross revenues or a minimum monthly amount.

     Incentive Fee
     Represents a fee for generating a predetermined profit, income or cash flow level based on the owner’s
     financial objectives.
